These terms explain how our portal and services work. By creating an account or placing an order, you agree to them. If anything is unclear, email contact@evolvebusiness.uk.
1. Who we are
Evolve Business Assist Ltd, a company registered in England and Wales (company number 14644122), registered office 20-22 Wenlock Road, London, England, N1 7GU. We are registered with Companies House as an Authorised Corporate Service Provider (ACSP).
Evolve Business Assist Ltd is a UK bookkeeping, payroll and tax firm. Our company formation and deadline tracking services cover company administration only. Bookkeeping, payroll, tax returns and tax advice are separate services. Get in touch if you'd like help with these.
2. Company formation – £149
- We prepare your incorporation application from the details you give us and submit it to Companies House.
- The £149 price is all-in: the Companies House fee is included, with nothing extra to pay them.
- You must supply your own registered office address, which must be an appropriate address in the UK where post can be received.
- Name checks on the portal are an indication only. Companies House makes the final decision on names and applications.
- We only tell you your company is incorporated once we hold the company number, authentication code and incorporation documents.
3. Identity checks and personal codes
Under the Economic Crime and Corporate Transparency Act 2023, directors, people with significant control and shareholders holding 25% or more must have their identity verified. We arrange this through our checking partner, Xama, or you can give us an existing Companies House personal code. We cannot file until the required checks are complete.
4. Company tracking and reminders
- Your first company is tracked free. Companies formed with us are always tracked free.
- Each additional company is £6 per year, billed as a yearly subscription. If it lapses, that company is locked until you renew.
- We send email reminders for accounts, confirmation statement and tax deadlines, including Corporation Tax, VAT and PAYE/CIS where you have added the details. You can switch them off at any time from the Reminders tab.
- Reminders are a helpful extra, and we cannot guarantee any reminder will reach you. It is your responsibility – not ours – to make sure every filing and payment is made on time, and we accept no responsibility for any missed filing, missed payment, penalty, fine or interest that results from one.
- You are also responsible for keeping your own records of each deadline, for example by checking the deadlines shown in the portal.
5. Confirmation statement filing – £85
We file your confirmation statement using the details you confirm to us. Please check them carefully — you are responsible for their accuracy. Any optional extras, such as identity verification, are shown with their price before you pay.
6. Your responsibilities
- Give us accurate, complete and honest information about every person and the company.
- Tell us promptly if anything changes before we file.
- Keep your login details safe.
7. Prices and payment
Evolve Business Assist Ltd is not VAT registered, so the prices shown are final. Payments are taken securely by Stripe at checkout.
8. Cancellations and refunds
If you're buying as a consumer, you normally have 14 days to cancel. Because company formations and filings can be completed quickly, we ask you at checkout to confirm that you want us to start straight away.
If you cancel before we start work, you'll get a full refund.
If you cancel after we've started but before your application or filing is submitted, we'll refund the price minus the cost of work already done (for example, identity checks already carried out).
Once your application or filing has been submitted to Companies House, the service is complete and you can no longer cancel or receive a refund.
Tracking subscriptions can be cancelled at any time from billing; they then run to the end of the paid year and are not renewed.
9. Our liability
We take care to file accurately and on time. We are not responsible for delays or decisions by Companies House, or for problems caused by incorrect information you give us. Meeting statutory filing and payment deadlines is your responsibility, and we bear no responsibility for filings or payments that are missed, whether or not a reminder was sent. Our total liability for any order is limited to the amount you paid for it. Nothing in these terms limits liability that cannot be limited by law.

We handle your personal data as explained in our privacy policy.
11. Changes and law
We may update these terms and will show the date of the latest version at the top of this page. These terms are governed by the law of England and Wales.
